1. Acceptance of Terms

By downloading, installing, or using Fine-Tuning Studio Pro ("the Software"), accessing our website at www.finetuningstudio.com ("the Website"), or participating in our Early Adopter Program, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Fine-Tuning Studio Pro ("Company," "we," "us," or "our").

If you do not agree to these Terms in their entirety, you must not access or use the Software or Services. By continuing to use our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Services

Fine-Tuning Studio Pro is a professional desktop application designed for fine-tuning large language models (LLMs) and AI models. The Software provides:

• Local AI model training on your own hardware (CPU, GPU, or hybrid)
• Cloud GPU training integration with third-party providers (RunPod, Vast.ai)
• Content extraction from documents (PDF, DOCX), websites, and GitHub repositories
• Model evaluation, testing, and built-in inference chat
• Export to multiple formats (GGUF, vLLM, TensorRT-LLM, ONNX, Safetensors)
• Access to the Hugging Face model ecosystem (2.1+ million models)

3. Early Adopter Program

3.1 Program Scope

As an Early Adopter, you are granted access to pre-release versions of the Software. You acknowledge and accept that:

• The Software may contain bugs, errors, or incomplete functionality
• Features may be added, modified, or removed without prior notice
• Performance and stability may vary from the final release version
• Technical support is provided on a best-effort basis during this phase

3.2 Feedback and Improvements

We encourage and appreciate feedback from Early Adopters. Any suggestions, bug reports, or improvement ideas you submit become the property of Fine-Tuning Studio Pro, and we may use them to improve the Software without any obligation to compensate you or acknowledge your contribution publicly.

3.3 Transition to General Availability

Early Adopter licenses will automatically convert to full licenses upon general availability. Early Adopters receive the same license rights as general customers, plus any additional benefits disclosed at the time of purchase.

4. License Grant

4.1 Software License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a perpetual, non-exclusive, non-transferable license to:

• Install and use the Software on devices you own or control
• Use the Software for personal, educational, research, or commercial purposes
• Create, train, and deploy AI models using the Software
• Commercialize any models or outputs created using the Software

4.2 License Restrictions

You shall NOT:

• Copy, modify, distribute, sell, or sublicense the Software itself
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Remove, alter, or obscure any proprietary notices or labels
• Use the Software to develop a substantially similar or competing product
• Share your license credentials or allow multiple users under a single license
• Use the Software in violation of any applicable laws or regulations

5. Intellectual Property

5.1 Our Intellectual Property

The Software, Website, documentation, and all associated intellectual property rights are owned exclusively by Fine-Tuning Studio Pro and protected by copyright, trademark, and other intellectual property laws worldwide.

5.3 Third-Party Models

The Software enables access to third-party base models (e.g., from Hugging Face). Your use of such models is subject to their respective licenses. You are solely responsible for ensuring compliance with applicable model licenses, including any restrictions on commercial use, attribution requirements, or redistribution limitations.

6. Acceptable Use

You agree not to use the Software or Services to:

• Train models on content you do not have legal rights to use
• Create models designed to generate illegal, harmful, or deceptive content
• Produce deepfakes or synthetic media of real individuals without consent
• Develop models for harassment, stalking, fraud, or manipulation
• Create autonomous weapons systems or mass surveillance tools
• Generate content that exploits, harms, or endangers minors
• Circumvent security measures or gain unauthorized access to systems
• Violate any applicable local, national, or international laws

Violation of these acceptable use terms may result in immediate termination of your license without refund and may be reported to appropriate law enforcement authorities.

7. Cloud Services and Third Parties

The Software offers optional integration with third-party cloud GPU providers including RunPod and Vast.ai. When using these features:

• You must establish and maintain your own accounts with these providers
• You are solely responsible for all charges incurred with third-party providers
• Your use is subject to each provider's terms of service and privacy policies
• We are not responsible for service availability, data handling, or security by third parties
• Data transfers to cloud providers are initiated solely by your action

8. Payment and Refunds

Access to the Software requires payment of the applicable license fee as displayed at purchase. All fees are in USD unless otherwise indicated.

30-Day Satisfaction Guarantee: If you are not satisfied with the Software for any reason, you may request a full refund within 30 days of purchase by contacting support@finetuningstudio.com. Refunds are processed within 7-10 business days to the original payment method.

Price Protection: If we reduce the price within 30 days of your purchase, you may request a refund of the difference.

You agree to indemnify, defend, and hold harmless Fine-Tuning Studio Pro and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Software or Services
• Your violation of these Terms
• Your violation of any third-party rights or applicable laws
• Models you create, train, or deploy
• Content you process or outputs your models generate
• Your use of third-party cloud services

12. Termination

By You: You may stop using the Software at any time. To request data deletion or account removal, contact support@finetuningstudio.com.

By Us: We may suspend or terminate your license immediately for violation of these Terms, fraudulent activity, or as required by law.

Effect: Upon termination, your license rights end immediately. You must cease using the Software and delete all copies. Models you created prior to termination remain your property. Sections 5, 9, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution

Informal Resolution: Before initiating any formal dispute, you agree to contact us at support@finetuningstudio.com and attempt good-faith resolution for at least 30 days.

Arbitration: Disputes that cannot be resolved informally shall be settled by binding arbitration, except that either party may bring individual claims in small claims court. Class actions, class arbitrations, and representative actions are waived.

EU/EEA Exception: If you are a consumer in the European Union or European Economic Area, you retain the right to bring claims in your local courts and nothing in these Terms limits your statutory consumer rights.

14. AI-Specific Provisions

14.1 Your Responsibilities

You are solely responsible for:

• Ensuring you have rights to use your training data
• The behavior, outputs, and consequences of models you create
• Compliance with AI regulations applicable in your jurisdiction
• Disclosing AI-generated content where legally required
• Testing and validating models before deployment

14.2 No Performance Guarantees

AI model training results depend on numerous factors including data quality, hyperparameter selection, and hardware. We make no guarantees regarding the performance, accuracy, capability, or fitness of any models trained using the Software.

14.3 Regulatory Compliance

You are responsible for ensuring your AI models comply with all applicable laws and regulations, including but not limited to the EU AI Act, GDPR, CCPA, HIPAA, and industry-specific requirements. The Software is a tool; compliance responsibility rests with you.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the complete agreement regarding the Software and Services.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

Assignment: You may not transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

Export Compliance: You agree to comply with all applicable export control laws and regulations.

Modifications: We may update these Terms from time to time. Material changes will be communicated via email or Website notice. Continued use after changes constitutes acceptance.
